1. Steps for participating
1. Fill out and sign the attached investment contract and return it to
best@bitpanda.com, so we can reserve the respective token amount
for you.
2. If you don't have a Bitpanda account yet, please sign up here. Should
you be signing up as a company, please additionally fill in the
registration form and provide the required documents. Here are the
instructions for both personal and business accounts. You can
transfer your funds right after signing up.
3. If you want to invest with any digital asset available on Bitpanda, no
verification is needed. To invest with fiat, please complete the
verification process.
4. As part of our due diligence process, we are obliged to examine the
origin of funds for higher transaction amounts (EUR 100k+).
Therefore, you have to provide us with proof of funds, such as:
- Proof of income (from employment or business activity)
- Tax report
- Proof of inheritance or gift
- Evidence of asset sale (real estate, land, company shares, etc.)

5. After we receive the signed investment contract and your deposit,
your investment will be processed and the balance credited to your
Bitpanda account. For investments made in crypto, we will make the

2. How to create an account
2.1. As a private user

1. Click the Sign up button on our website in the top right corner.
2. Enter your name and email address, and choose a strong password
3. Select your country of residence and accept the terms and conditions and
privacy policy
4. Click on Create account
5. Now click on the link in the confirmation email to complete the creation of
your account. Find out what you can do if you don't receive our email

Note: If you already have a Bitpanda account, it is not necessary to create a new
account for the Bitpanda App. Please use your existing account. Keep in mind, that
you are not allowed to create a second account. Learn more about double-
accounts.

3. Do I have to verify?
3.1 If I invest with digital assets
Investments into BEST can easily be done with any supported digital asset.
Therefore, no verification is needed. The desired amount of needs to be deposited
in your corresponding Bitpanda wallet. After that, you can directly participate in
the private sale.

3.2 If I invest with fiat
To invest in BEST with fiat currencies we are obliged to verify you. This can be
done either through our automatic verification process on our platform or through
a manual verification by our BEST private sale team.
Verification on Bitpanda
Please make sure that:
● You have a stable Internet connection
● Your webcam or smartphone camera is activated
● You’re in a quiet, well-lit environment
● You have an accepted photo ID at hand
Note: A driving license is not sufficient for the verification. Unfortunately, we do
not offer verification by post. For security reasons, we cannot accept paper
documents.

3. Confirm that the information given is true, complete and accurate

4. How to deposit
After successful verification, you will be able to deposit your investment on the
Bitpanda Trading Platform.
4.1. Money to your fiat wallet
Our fiat wallet feature allows you to deposit Fiat money to your Bitpanda account
in order to make your investment in BEST.
At the moment, the following fiat wallets are available:
● Euro (EUR)
● US Dollar (USD)
● Swiss Franc (CHF)
● British Pound (GBP)
In order to deposit money onto your Fiat wallet follow these steps:

1. Click on the Deposit button on the navigation bar at the top of the page
2. Choose the fiat wallet corresponding to the currency you wish to deposit
3. Select a payment provider
4. Choose the amount you want to deposit and click on Go To Summary

that the payment method is correct, click on Confirm, you
will receive a SMS-PIN (not with bank transfers), enter it and click on

BEST PRIVATE SALE 2
i.To buy BEST in the private sale phase, at the discounted prices (see
Point 4.), the Client must buy BEST with a value of at least the
equivalent of EUR 50,000.00.
ii.Clients can buy BEST with any Token supported on the Bitpanda
platform. If you want to buy BEST with F-Token (EUR, USD, CHF & GBP),
you need to be verified.
iii.Any conversion of Token (if required) during the private sale phase takes
place on the day of the deposit on our platform at 8 pm, CET at the
current exchange rate of the respective Token as stated on our
platform. If we receive the deposit after 8 pm, CET, the conversion takes
place on the following day at the aforementioned time.
iv.The stated amount has to be paid in full and free of any fees,
deductions or withholding whatsoever. If only a lower amount than
stated here by the Client is transferred to the Client’s Bitpanda account,
we can only deliver BEST equivalent to this lower amount to the
respective account or refuse the purchase offer of the Client at that
moment.
6. Conditions
precedent,
BEST delivery
and
conclusion of
the contract
i.The general private sale offer of Bitpanda is non-binding and it is at the
sole discretion of Bitpanda whether or not to accept the offer of a
Client.
ii.The conclusion of a contract between Bitpanda and the customer is
conditioned on (a) registration on the Bitpanda platform, (b) verification
of the client (if needed), (c) the receipt of the payment of the amount
set out in point 5. before 31 July 2019, 1 pm, CET. Bitpanda also has the
right to refuse the conclusion of a contract with the Client for other
objective reasons (see the attached terms for more details).
iii.After examination of the offer of the Client and the other necessary
requirements for the conclusion of a contract, we deliver the ordered
and payed quantity of BEST to the Bitpanda account of the client.
iv.With the delivery of BEST to the Bitpanda account of the Client, the
contract is concluded, and the company has fulfilled all its obligations.
Further services of Bitpanda are not subject of this transaction.
7. General Terms
& Conditions
i.To this contract the attached BEST IEO Terms and explanatory notes
apply. By signing this contract, the Client agrees to these Terms which
form an integral part of this agreement.
ii.If the Client is an entrepreneur or professional investor, provisions
which, according to applicable law, are only applicable to consumers
within the meaning of the Austrian Consumer Protection Act
(Konsumentenschutzgesetz), shall be expressly waived between the
parties and shall therefore not apply to this contractual relationship.
8. Withdrawal
waiver
By signing this form, you agree to the early fulfilment of this transaction.
Thus, you forgo your right of withdrawal of the contract under § 11 FAGG
(Fern- und Auswärtsgeschäfte Gesetz).
9. AML and Proof
of funds
The client acknowledges and warrants that this transaction will not
violate any applicable laws (including, without limitation, laws relating to
money laundering and terrorist financing and other criminal and
administrative statutes). A documentation of the funds invested ("proof
of funds") is required by offers of equivalent to 100,000.00 EUR or higher.

Bitpanda.
10.Privacy
Information
We process personal data only in accordance with the GDPR and other
applicable laws. For further information in this regard, we refer to our
Privacy Policy (https://www.bitpanda.com/en/legal#privacy).
11. Severability
If, at any time, any provision of this form, in whole or in part, is or
becomes illegal, invalid or unenforceable in any respect under any law of
any jurisdiction, neither the legality, validity or enforceability of the
remaining provisions, nor the legality, validity or enforceability of such
provision under the law of any other jurisdiction, will in any way be
affected or impaired. An illegal, invalid or unenforceable provision shall
be replaced by a suitable and equitable provision which comes as close
as possible to the replaced provision in keeping with the economic
purposes. The foregoing also applies to gaps in this form.
12. Governing law
and
jurisdiction
i.Any transaction under this form shall be governed by and construed in
accordance with the laws of the Republic of Austria to the exclusion of
the provisions of the United Nations Convention on the International Sale
of Goods and without giving effect to any statutory conflict of law
provisions or rules that would cause the application of the law of any
jurisdiction other than Austria.
ii.Any and all disputes or divergences or claims shall be exclusively dealt
with the court having pertinent competence for 1010 Vienna.
With your signature, you expressly confirm that you have read this form including the BEST
IEO terms and explanatory notes and that you want to enter into a contract accordance with
these provisions and your offer. Furthermore, you confirm that you have the legal capacity
(Geschäftsfähigkeit) to enter into any and all necessary business transactions with respect
to these terms and that you have considered the commercial and legal risk associated with
this transaction.
If this offer is signed on behalf of an entity, you expressly confirm that you have sufficient
power of representation and all necessary approvals to sign this document and conclude
the transaction.
After filling out and signing this form, please send it by e-mail to best@bitpanda.com and
transfer the amount set out in point 5. to your Bitpanda account. We can only process and
accept offers received on time during the private sale phase.
